HID is seeking an Associate General Counsel to serve as the primary legal and commercial partner supporting the Secure Document Issuance business and broader Secure Issuance organization. This role will provide strategic, proactive, and business-oriented legal guidance across commercial transactions, public tenders, government procurement activities, channel partnerships, product and service offerings, procurement, operational matters, and regulatory compliance.
The successful candidate will be a practical, commercially minded attorney who is comfortable working directly with business leaders, bid teams, product management, service organizations, sales, engineering, procurement, and operational stakeholders. This role is expected to engage early in commercial opportunity development, help structure deals and service models before contracts are drafted, and build scalable legal and commercial frameworks that support growth, operational consistency, and risk management across SDI’s global business.

As our Associate General Counsel, you’ll support HID’s success by:
- Serving as the lead legal advisor and strategic legal partner supporting the Secure Document Issuance business unit
- Partnering proactively with business leaders, bid teams, product management, service organizations, sales, engineering, procurement, and operational stakeholders at the earliest stages of commercial opportunity development
- Helping structure commercial models, customer offerings, service commitments, tender responses, and deal strategies before contracts are drafted or negotiations begin
- Identifying legal, commercial, operational, regulatory, and execution risks early in the sales, bid, product, service, and procurement lifecycles, and develop practical risk mitigation strategies
- Serving as an active member of major bid and tender teams, providing legal and commercial guidance during proposal development, risk assessment, solution design, pricing discussions, acceptance criteria review, and contract commitment analysis
- Designing, implementing, maintaining, and improving scalable commercial contracting frameworks, including standard customer contract structures, procurement terms, maintenance agreements, SaaS agreements, service frameworks, renewal mechanisms, escalation models, and standard liability positions
- Supporting the development of standardized service level agreements, maintenance frameworks, uptime commitments, service credits, software support obligations, patch delivery commitments, and other performance obligations
- Driving the implementation of practical legal governance processes within business operations, ensuring legal considerations are incorporated into sales, procurement, product management, service delivery, and project execution workflows before formal legal review is required
- Partnering with commercial and service teams to establish contract lifecycle management practices, including renewal governance, extension mechanisms, changing management processes, and long-term customer agreement strategies
- Acting as a trusted business partner who balances risk management with commercial objectives, enabling business growth while establishing pragmatic, scalable, and operationally workable legal processes
- Collaborating with cross-functional teams to support business growth, operational excellence, contract consistency, service readiness, and strategic objectives
- Supporting additional Secure Issuance business units, products, services, and strategic initiatives as business needs require
Primary Duties:
- Draft, review, negotiate, and advise on a broad range of commercial, government, and procurement-related transactions, including customer agreements, government contracts, public tenders, framework agreements, software licenses, hardware transactions, SaaS agreements, services agreements, maintenance agreements, manufacturing and supply agreements, and other strategic commercial arrangements
- Support sales, bid management, engineering, operations, service, product management, finance, and procurement teams in structuring and closing complex commercial and government transactions
- Provide legal and commercial guidance during bid and tender preparation, including review of legal risk, acceptance criteria, warranties, service commitments, maintenance obligations, performance requirements, liability exposure, service credits, and long-term operational commitments
- Advise business stakeholders on contractual obligations, procurement requirements, risk allocation, transaction strategy, service delivery obligations, and operational feasibility of proposed commitments
- Partner with business and service teams to ensure contractual commitments are achievable, commercially sustainable, and aligned with SDI’s operational capabilities
- Develop and maintain scalable contract architectures, standard terms and conditions, playbooks, legal guidance, approval frameworks, fallback positions, and commercial risk allocation models
- Support the development and governance of customer contracting frameworks, procurement terms, maintenance structures, SaaS terms, service models, renewal mechanisms, escalation processes, and standard liability positions
- Draft, review, and negotiate agreements supporting the company’s channel ecosystem, including distributor, reseller, OEM, referral partner, sales agent, systems integrator, and strategic partnership arrangements
- Advise on partner programs, go-to-market structures, incentive models, intermediary compliance requirements, and related commercial initiatives
- Support due diligence and risk management activities involving channel partners and third-party representatives
- Provide legal support throughout the lifecycle of the company’s hardware, software, maintenance, support, SaaS, managed service, and professional services offerings
- Advise on product-related legal issues, warranty matters, service performance matters, commercial claims, marketing practices, procurement requirements, and regulatory requirements
- Counsel business stakeholders on compliance matters, including anti-corruption, competition, export controls, sanctions, government procurement, and related legal requirements
- Develop and deliver practical legal and compliance training to business teams, including training focused on bid readiness, contracting standards, service commitments, approval requirements, and escalation expectations
- Support procurement and sourcing activities, including supplier, vendor, manufacturing, logistics, service delivery, technology, and operational agreements
- Advise on supply chain, service delivery, maintenance, support, warranty, service credits, contract performance, and customer escalation matters
- Assist with disputes, claims, service escalations, performance issues, and other business-critical matters
- Partner with commercial, finance, service, and operational teams to support renewal strategy, extension mechanisms, contract change management, and long-term customer agreement strategy
- Manage and improve legal administrative and operational processes, including contract intake, contract execution, signature coordination, approval workflows, document retention, matter tracking, reporting, templates, and playbooks
- Collaborate with legal colleagues globally on strategic initiatives, compliance efforts, acquisitions, integrations, commercial frameworks, and special projects
- Serve as a trusted advisor on the wide range of legal, commercial, operational, compliance, and administrative questions that arise in a global engineering, manufacturing, software, and services business
Your Experience and Background include:
- Qualified lawyer in the Netherlands
- Prior in-house counsel experience supporting global technology, industrial equipment, manufacturing, security, identity, payments, government solutions, SaaS, managed services, or service-intensive businesses
- Experience working directly with senior business leadership in a matrixed global organization
- Experience supporting secure identity, credential issuance, government technology, industrial equipment, or other highly regulated industries
- Familiarity with European and international public procurement frameworks
- Experience supporting manufacturing, engineering, field service, software support, or global service organizations
- Experience advising on export controls, sanctions, cybersecurity, data protection, and regulatory compliance matters
- Experience developing contract lifecycle management practices, renewal governance, contracting playbooks, escalation frameworks, or standardized service terms
- Professional proficiency in Italian
